Item 1.01. Entry into a Material Definitive Agreement

On August 28, 2018, Inuvo, Inc. (the “Company”) entered into Amendment #16 (the “Amendment”) to Yahoo! Publisher Network Contract #1-19868214 (the “Contract”) with Oath Holdings Inc., Yahoo! Singapore Digital Marketing Pte. Ltd., and Oath (EMEA) Limited (together, “Yahoo”). Among other things, the Amendment extends the term of the Contract to November 30, 2020. The Contract contains customary termination provisions and either party has the right to terminate the Agreement on November 30, 2019.
