PART III - NARRATIVE

State below in reasonable detail the reasons why Forms 10-K, 11-K, 10-Q, N-SAR,
or the transition report or portion thereof, could not be filed within the
prescribed time period. 

Registrant is unable to complete its financial statements in time to
file by the March 31, 1997 filing date. This is largely due to a change
in personnel in the registrants accounting dept. In addition, the
registrant has recently changed legal counsel which has further delayed
the filing of the report.

    The company expects to report a loss for the fourth quarter of 1997.
    The exact amount of the fourth quarter loss is yet to be determined. This
    fourth quarter loss combined with the year to date loss as previously
    reported on Form 10-QSB for the period ended September 30, 1997 will
    result in a loss for the year by the registrant.
