Item 2.02 RESULTS OF OPERATIONS AND FINANCIAL CONDITION.

On October 26, 2005, GSI Commerce, Inc. issued a press release postponing release of quarterly results for the third fiscal quarter ended October 1, 2005 and related conference call but announcing its preliminary estimated results for the third fiscal quarter ended October 1, 2005 and certain other information.
