Item 1.01 Entry into a Material Definitive Agreement.

 

On February 15, 2023, CleanSpark, Inc., a Nevada corporation (the "Company"), purchased 20,000 S19j Pro+ mining machines for a purchase price of $43,560,000. The mining machines are scheduled for deliveries in March and April 2023. The purchase was made pursuant to the terms of a Sales and Purchase Agreement entered into by and between the Company and Crypt Solutions, Inc. on February 15, 2023 (the "Agreement"). The Company plans to use the mining machines to expand its digital currency mining activities through its wholly-owned subsidiaries.

 

The foregoing description of the Agreement that governs the purchase does not purport to be complete, and is qualified in its entirety by reference to the complete text of such Agreement, a copy of which is attached as Exhibit 10.1 to this Current Report on Form 8-K ("Current Report").

Item 7.01 Regulation FD Disclosure.

On February 16, 2023, the Company issued a press release announcing the Purchase and the use of approximately $9,500,000 in coupons and the plan to acquire approximately an additional $3,500,000 in coupons, at a fifty percent (50%) discount, to reduce the purchase price to approximately $30,000,000. A copy of this press release is attached hereto as Exhibit 99.1 and is being furnished with this Current Report.
