Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.

 

On January 12, 2006, MicroFinancial Incorporated (the “Registrant”) determined, pursuant to authority granted to it by its Board of Directors, to cause the Registrant to take definitive action to transfer the listing of the Registrant’s common stock from the New York Stock Exchange to the American Stock Exchange, effective January 17, 2006. The Registrant will continue to trade under the symbol “MFI”.

 

A copy of the Registrant’s press release announcing the transfer, dated January 12, 2006, is attached to this report as Exhibit 99 and is incorporated herein by reference.

Woburn, MA – January 12, 2006 -- MicroFinancial Incorporated (NYSE-MFI) a financial intermediary specializing in vendor based leasing and finance programs for transactions in the $500 to $15,000 range, today announced that the Company will transfer its common stock listing from the New York Stock Exchange (NYSE) to the American Stock Exchange (AMEX), effective the beginning of trading on Tuesday, January 17th. The Company will continue to trade under the symbol, “MFI”.
