Item 3.03    Material Modification of Rights of Security Holders.

        On November 21, 2006, the Rights Agreement between Edison International (the "Company") and Wells
Fargo Bank, N.A., dated November 21, 1996 (the "Rights Agreement"), terminated pursuant to its terms,
effectively terminating the Company's shareholder rights plan.  The rights to purchase shares of the
Company's Series A Junior Participating Cumulative Preferred Stock which accompanied shares of the Company's
common stock during the term of the Rights Agreement are no longer in force.
