Item 5.02     Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

(b)          Resignation of Principal Financial Officer

 

William Slater, Chief Financial Officer of Symmetricom, Inc., informed us on June 26, 2008 of his intention to resign.  Mr. Slater is expected to remain Chief Financial Officer while a search is conducted to find his replacement.

 

In connection with Mr. Slater’s departure he will receive his base salary for 12 months, his target annual bonus, and health benefits for Mr. Slater and his dependents for up to 12 months.
