On January 19, 2007, the board of directors voted unanimously to appoint Salvador Diaz-Verson to the board of directors. There are no arrangements or understandings between the newly appointed director and any other director or officer of the company or any outside party. Further, there are no transactions involving the company and the newly appointed director which would be reportable pursuant to Item 404(a) of Regulation S-B promulgated under the Securities Act of 1933, as amended.
