Item 8.01.                      Other Events.

On June 29, 2012, Terry W. Miller resigned as Senior Vice President and Director of the Special Assets Group of Orrstown Bank (the “Bank”), the Registrant’s wholly-owned banking subsidiary.  On July 13, 2012, Michael A. Moore resigned as Senior Vice President and Chief Credit Officer of the Bank. Both individuals resigned from the Bank to pursue other business opportunities.
