Submission of Matters to a Vote of Security Holders.

InnSuites Hospitality Trust (the “Company”) held its Annual Meeting of Shareholders on August 9, 2012.  At the meeting, 7,112,539 shares were present in person or by proxy, which represented a quorum.  Set forth below are the final voting results for the election of Mr. Berg as a trustee, which was the only proposal submitted to a vote of the shareholders.
