Item 1.01 Entry Into a Material Definitive Agreement; Item 8.01 Other Events.
     On November 12, 2009, Waste Management, Inc. (the “Company”) commenced an underwritten public offering of $600,000,000 aggregate principal amount of its 6.125% Senior Notes due 2039 (the “Notes”) under the Company’s Registration Statement on Form S-3 (No. 333-162059) (the “Registration Statement”). The Notes, which will be fully and unconditionally guaranteed by our wholly-owned subsidiary Waste Management Holdings, Inc. (“WM Holdings”), were sold pursuant to an underwriting agreement (the “Underwriting Agreement”) entered into on November 12, 2009 by the Company, WM Holdings and BNP Paribas Securities Corp., J.P. Morgan Securities, Inc., Scotia Capital (USA) Inc. and Wells Fargo Securities, LLC as representatives of the several underwriters set forth therein. The Notes will be issued under an indenture dated as of September 10, 1997, between the Company and The Bank of New York Mellon Trust Company, N.A. (successor by merger to Texas Commerce Bank National Association), as trustee (the “Indenture”). Closing of the issuance and sale of the Notes is scheduled to occur on November 17, 2009. Certain of the underwriters and their respective affiliates have, from time to time, performed, and may in the future perform, various financial advisory and investment banking services for us, for which they have received or will receive customary fees and expense reimbursements. The underwriting agreement includes the terms and conditions for the Notes, indemnification and contribution obligations, and other terms and conditions customary in agreements of this type. The terms of the Notes and the guarantee by WM Holdings are further described in the prospectus supplement dated November 12, 2009, as filed by the Company with the SEC on November 13, 2009, which description is incorporated herein by reference. The exhibits filed herewith are filed pursuant to the Registration Statement pursuant to Item 601 of Regulation S-K and are included as exhibits to this current report and are incorporated herein by reference. The descriptions of the documents described herein are qualified in their entirety by the full text of such documents, which are filed herewith.
