The Registrant was unable, without unreasonable effort and expense, to prepare its accounting records and schedules in sufficient time to enable its independent registered public accounting firm to complete its review of the Registrant’s financial statements to be contained in our Quarterly Report on Form 10-Q for the three and six months ended June 30, 2018. It is anticipated that the Form 10-Q, along with the reviewed financial statements, will be filed within the five-day extension period.

The Registrant anticipates reporting a net loss of approximately $200 on revenues of $0 and a net loss of approximately $254,000 on revenues of $0 for the three months ended June 30, 2018 and the period from January 12, 2018 (date of inception) through June 30, 2018, respectively. The Registrant was formed on January 12, 2018 (date of inception), accordingly there are no comparative periods prior to the date of inception. A more detailed discussion of results of operations will be included in the Management's Discussion and Analysis of Financial Condition and Results of Operations in the Form 10-Q to be filed.
