ITEM 5.02 DEPARTURES OF DIRECTORS OR PRINCIPAL OFFICERS; ELECTION OF DIRECTORS; APPOINTMENT OF PRINCIPAL OFFICERS.

Effective June 4, 2007, Ian Brodie has resigned as the Executive Vice President of Terrace Ventures Inc. (the “Company”). There was no disagreement between Mr. Brodie and the Company regarding any matter relating to the Company’s operations, policies or practices.

Also effective June 4, 2007, Frank Anderson has resigned as the Vice President of Finance of the Company. There was no disagreement between Mr. Anderson and the Company regarding any matter relating to the Company’s operations, policies or practices
