China Digital Media Corp. (the “Company”) is still waiting for its independent auditor to review its management prepared unaudited financial statements in order to prepare Form 10-QSB. For the foregoing reason, the Company requires additional time in order to prepare and file its Quarterly Report on Form 10-QSB for the quarter ended September 30, 2006.

The Company does not expect significant changes in its results from operations and earnings from the corresponding period ended September 30, 2005.
