Item 7.01 Regulation FD Disclosure.

Par Petroleum Corporation (the “Company”) released its third quarter 2013 results on November 14, 2013 by issuing a press release (the “Press Release”) on that date. The Company furnished the Press Release as Exhibit 99.1 to a Form 8-K filed by the Company with the Securities and Exchange Commission on November 14, 2013 and held its earnings conference call on November 19, 2013, beginning at approximately 10:00 a.m. Central time. The earnings call was held via telephone and open to anyone choosing to participate. Due to technical difficulties experienced by the conference call service provider, not everyone who attempted to participate on the earnings call was able to participate.

An audio replay of the earnings call is available until January 15, 2014, accessible at (888) 286-8010 for domestic callers, and (617) 801-6888 for international callers, in each case using access code 81911518. The availability of the audio replay had been noted in the Press Release.

The Company is furnishing the full transcript of the earnings call as Exhibit 99.1 to this Form 8-K to ensure that all investors have access to the information disclosed on the earnings call.
