Item 4. Change in Registrants Certifying Accountant.:
On February 25, 2000, The Andersons, Inc. determined that the firm of Ernst & Young LLP (E&Y) would no longer serve as the Companys independent accounting firm, effective with the filing of the Companys Form 10-K.
During the years ended December 31, 1999 and 1998 and the subsequent interim period, there were no disagreements between the Company and E&Y on any matters of accounting principles or practices, financial statement disclosure or auditing scope or procedure, which, if not resolved to the satisfaction of E&Y, would have been referred to in their reports. E&Ys reports on the Companys financial statements for the years ended December 31, 1999 and 1998 did not contain an adverse opinion or a disclaimer of opinion and were not qualified or modified as to uncertainty, audit scope, or accounting principles.
The decision to change independent accountants was approved by the Audit Committee of the Companys Board of Directors and the Board of Directors.
The Company has engaged PricewaterhouseCoopers LLP as its new independent accountants, also effective with the filing of the Companys Form 10-K that is expected to be on or about March 10, 2000.
Attached as an exhibit to this Form 8-K is a letter from E&Y indicating their response to the statements made by the Company in this Form 8-K.
