Item 1.01 Entry into a Material Definitive Agreement

On April 3, 2023, The Andersons, Inc. entered into an unsecured Term Loan Agreement (the "Loan Agreement") with Farm Credit Mid-America, PCA, as Administrative Agent. The Loan Agreement provides for an 8-year loan in the amount of $100 million, approximately half of which is to be used to repay current maturities of long-term debt. The remainder of the proceeds will be used to pay down a portion of outstanding line of credit borrowings. Payment of principal and interest will be made on a quarterly basis. The Loan Agreement will bear interest at variable rates, which are based on the Secured Overnight Financing Rate ("SOFR") plus an applicable spread, subject to the terms and conditions set forth in Exhibit 10.1 herein.
