the prescribed time period.





The Company has been having difficulty obtaining all of the necessary
information from the Company's captive insurer in time to complete the
financial statements for the Form 10-KSB.  As a result, the Company is unable
to file the Form 10-KSB by the due date.

NARRATIVE AND QUALITATIVE EXPLANATION OF THE ANTICIPATED CHANGE:

The Company anticipates that it will report gross revenues of approximately
$21,815,844 for the year ended December 31, 1998, as compared to $17,469,281
for the prior year.  The Company expects to report net income of approximately
$150,000 for the year ended December 31, 1998, as compared to a net loss of
$1,531,200 for the prior year.
