Item 2.02 Results of Operations and Financial Condition

On January 23, 2009, Amphenol Corporation issued a press release announcing its first quarterly dividend for 2009 on its Common Stock in the amount of $.015 per share. A copy of Amphenol Corporation’s press release is attached hereto as Exhibit 99.1.

AMPHENOL ANNOUNCES

FIRST QUARTER 2009 DIVIDEND PAYMENT

Wallingford, Connecticut.  January 23, 2009.  Amphenol Corporation (NYSE-APH) announced today that its Board of Directors has approved a continuing quarterly dividend on its Common Stock in the amount of $.015 per share.  The Company will pay its first quarter dividend for 2009 on or about April 1, 2009 to shareholders of record as of March 11, 2009.
