Certain Officers; Compensatory Arrangements of Certain Officers.

Timothy F. Cohane, a Named Executive Officer, has resigned from his position as Executive Vice President of Amphenol Corporation (the “Company”) effective August 1, 2007. Mr. Cohane will continue to serve the Company in an advisory role as needed.
