Item 8.01                                             Other Events.

 

On May 2, 2006, Ameriprise Financial, Inc. and its subsidiary Ameriprise Trust Company (collectively, “Ameriprise”) entered into an agreement with Wachovia Bank, N.A. (“Wachovia”) providing for the sale to Wachovia of Ameriprise’s defined contribution plan recordkeeping business. Consummation of the transaction is subject to certain conditions, including clearance by the U.S. Department of Justice under the Hart-Scott-Rodino Act.
