Item 2.01.

Completion of Acquisition or Disposition of Assets.

On September 24, 2004, Northland Cranberries, Inc. (the “Company”) issued a press release announcing (i) the sale of its receiving, freezing and concentrate plant in Wisconsin Rapids and its raw cranberry inventory to Ocean Spray Cranberries, Inc. (“Ocean Spray”), and (ii) that Ocean Spray paid a non-refundable $5 million fee exchange for the right to purchase up to 14 of the Company’s 17 cranberry marshes.

Further information is included in the Company’s press release filed as Exhibit 99.1 to this report and incorporated herein by reference. The Company will file a Current Report under Item 1.01 (Entry into a Material Definitive Agreement) by September 29, 2004.
