The option shares vest in four equal installments (subject to adjustment for fractional shares) based on the issuer's satisfaction of certain performance criteria for each of the fiscal years ending December 31, 2005, 2006, 2007 and 2008 and the recipient's continued service to the company.  On February 20, 2008, the Compensation Committee of Accuride's Board determined that the performance criteria for the respective portion of eligible option shares was satisfied and the option shares vested on December 31, 2007.</footnote>
