        <footnote id="F1">On September 1, 2005, the reporting person filed a Form 4 reporting the grant of an option to purchase 26,195 shares of common stock.  While 26,195 option shares were in fact granted on August 30, 2005, as indicated in footnote 1 of the Form 4, 13,097 shares vest in equal installments over a period of four years upon the achievement by the issuer of certain annual performance objectives and the recipient's continued service to the company.  These performance vesting option shares were mistakenly reported as acquired in Table II of the Form 4.  On August 30, 2005, the reporting person only acquired 13,098 derivative securities subject to reporting obligations of Section 16 of the Securities Exchange Act of 1934, as amended with 25% of such shares vesting on August 30, 2006 and 25% vesting each December 31 thereafter, with full vesting on the fourth December 31 following grant date.</footnote>
