Item 1.01. Entry into a Material Definitive Agreement.

On September 12, 2006, the Board of Directors of Metrologic Instruments, Inc. (the “Company”) approved compensation payable to certain members of the Board of Directors for their service on the special committee of the Board. The special committee was formed in connection with the consideration of the proposed merger which led to the merger agreement between the Company, Meteor Merger Corporation and Meteor Holding Corporation.

Each non-chair member of the special committee will receive a retainer of $35,000 and the chair of the special committee will receive a retainer of $40,000.
