EXPLANATORY NOTE

On June 9, 2023, Fastenal Company (the "Company") filed a Current Report on Form 8-K (the "Original Form 8-K") under Item 5.02 to report the election of Ms. Irene A. Quarshie to the Company’s Board of Directors (the "Board"). At the time of the Original Form 8-K filing, the Board had not determined to which committees, if any, Ms. Quarshie would be appointed. In accordance with instruction no. 2 of the Instructions to Item 5.02 of Form 8-K, the Company is filing this Current Report on Form 8-K/A (this "Amendment") to disclose the subsequent appointment of Ms. Quarshie to a Board committee.

Item 5.02(d). Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers;

Compensatory Arrangements of Certain Officers.

On July 12, 2023, the Board appointed Ms. Quarshie to serve as a member of the Audit Committee of the Board for a term ending on the last day of the term of the other members of the Audit Committee or until her successor is duly appointed and qualified.

Other than the preceding disclosure, no other disclosure reported in the Original Form 8-K is amended pursuant to this Amendment.
