PART III — NARRATIVE

Due to the complexity of certain transactions closed during the year including a number of complex debt and equity transactions and the recent addition of a Chief Financial Officer to the company on September 9, 2002, the Company requires additional time to ensure that all adequate disclosures are properly reflected on its Form 10-KSB for the fiscal year ended June 30, 2002.

IMSI believes that it will file the Form 10-KSB within the time period allowed by this extension.

The Company expects to report net income of approximately $10.0 Million, including $10.4 million of net income related to the forgiveness of debt, as well as net revenues of approximately $13.2 million for the fiscal year ended June 30, 2002 as compared to a net loss of $1.7 million on net sales of $13.2 million for the fiscal year ended June 30, 2001.
