     We would like to correct a statement we made in the last full paragraph 
on the first page of our May 23, 1997, letter to you with regard to certain 
tender offers. Although a few of these offers were made at prices above the 
trading prices of the securities in the secondary market, most were made at 
prices below or, in some cases, approximately equal to the most recent
