Item 8.01           Other Events

On June 8, 2011 Ebix, Inc. (or the “Company”) issued a press release announcing that since March 29, 2011 the Company had re-purchased 1,020,073 shares of its common stock for total aggregate cash consideration in the amount of $20.38 million. All share repurchases were done in accordance with Rule 10b-18 of the Securities Act of 1934 as to the timing, pricing, and volume of such transactions, and were completed using available cash resources and cash generated from the Company’s operating activities.

The Company also announced in the same press release that it intends to continue buy back its common stock under its existing Board authorized $45 million share re-purchase program, and to seek Board authorization to increase the re-purchase program to $75 million once the Company has reached the $45 million authorized under the Board’s earlier resolution.

Ebix Reports Buy Back of One Million Shares Since 29th March 2011

ATLANTA, GA – June 8, 2011 – Ebix, Inc. (NASDAQ: EBIX) a leading international supplier of On-Demand software and E-commerce services to the insurance industry, today reported that it has bought back more than one million shares of its stock since 29th March 2011.

The Company announced that it has purchased a total of 1,020,073 shares of its common stock since March 29th 2011, for a total sum of $20.381 million. All share repurchases were done in accordance with Rule 10b-18 of the Securities Act of 1934 as to the timing, pricing, and volume of such transactions.

The Company also reported that it intends to continue buying back its common stock using its available cash resources and cash generated by its operating activities. While the Company already has a share buyback authorization from the Board for $45 million, the Company declared that it intends to seek Board authorization to increase this buyback authorization to $75 million, once it has utilized the earlier $45 million buy-back authorization.
