This filing relates solely to preliminary communications made before the commencement of a planned tender offer by Backbone Acquisition Sub, Inc. (“Purchaser”), a wholly-owned subsidiary of Solutia Inc. (“Parent”), for all of the outstanding common stock of Southwall Technologies Inc. (the “Company”), to be commenced pursuant to the Agreement and Plan of Merger, dated as of October 6, 2011, by and among Parent, Purchaser and the Company.

Solutia to Acquire Southwall Technologies Inc.

Creates powerhouse of world-class innovation, technology and commercial films expertise

ST. LOUIS and PALO ALTO, October 7, 2011 — Solutia Inc. (NYSE: SOA), a market-leading performance materials and specialty chemicals company, and Southwall Technologies Inc. (NASDAQ: SWTX), a leading innovator of energy-saving films and glass products for automotive and architectural markets, today announced that they have signed a definitive agreement providing for Solutia to acquire Southwall for $13.60 per share of Southwall common stock in cash. The transaction, which has been approved by the boards of directors of both companies, has an aggregate equity purchase price of approximately $113 million. The acquisition will be funded by Solutia from existing cash on hand.

“This acquisition positions Solutia as the world leader in advanced sputtering technology, combining the industry’s leading commercial expertise with next-generation innovation capabilities to provide advanced film solutions to the premium window film and electronics markets,” said Jeffry N. Quinn, chairman, president and chief executive officer of Solutia Inc. “Our growth strategy remains focused on enhancing our portfolio through synergistic bolt-on acquisitions that allow Solutia to better serve high-growth markets and support the success of our existing businesses. This is just one component of our strategy to put our strong cash flow to work to create value for our shareholders.”


The acquisition will secure Solutia’s access to Southwall’s proprietary XIR® technology, a key base material for the Company’s high-growth V-Kool® premium aftermarket window films. In addition, the acquisition adds state-of-the-art manufacturing capacity and proprietary capabilities to support the fast-growing demand for high-tech films for the electronics market and positions Solutia to provide a broader range of product solutions. This includes a new product offering in which transparent film is encapsulated between Saflex® polyvinyl butyral interlayers to form a protective barrier in laminated glass against the harmful effects of the sun.

Under the terms of the agreement, it is anticipated that a subsidiary of Solutia will commence a tender offer for all of the outstanding shares of Southwall common stock no later than October 25, 2011. Southwall stockholders will receive $13.60 per share in cash for all outstanding shares of Southwall common stock tendered in the offer and accepted for payment by Solutia, representing a 45% premium to the closing price per share of Southwall common stock on October 6, 2011. The closing of the tender offer is subject to customary terms and conditions, including the tender of a majority of the outstanding shares of Southwall and the receipt of regulatory approvals. Following the successful completion of

the tender offer and following the receipt of stockholder approval, if necessary, the agreement provides for Southwall to merge with a subsidiary of Solutia and become a wholly-owned subsidiary of Solutia, with all shares of Southwall common stock then outstanding being converted into the right to receive the offer price in cash.

The tender offer is expected to be completed in the fourth quarter of 2011. Certain funds affiliated with Needham Funds, together with Dolphin Direct Equity Partners, L.P., which collectively hold shares of Southwall common stock and convertible preferred stock equal to approximately 63% of the outstanding shares of Southwall common stock on an as-converted basis, have entered into tender and support agreements with Solutia pursuant to which they have agreed to support the transaction and tender their shares in the offer.

Those of you who have heard me talk about Solutia over the last several years have heard me emphasize our intention to seize strategic opportunities in emerging markets, expand the reach of our premium products and position Solutia for sustainable growth in today’s dynamic global market.


I believe purposeful, targeted actions are an essential component of elevating Solutia’s global leadership in performance materials and specialty chemicals. Since the beginning of 2010, Solutia has selectively acquired assets that expanded our capabilities and increased the scale of our existing businesses.

Today, we take another deliberate step in line with this strategy, announcing we have signed a definitive agreement to purchase Southwall Technologies Incorporated, a leading innovator of energy-saving films and glass products for automotive, electronic and architectural markets. This acquisition joins Solutia’s commercial and manufacturing expertise with Southwall’s next-generation innovation capabilities to turn Solutia into a global technology and manufacturing leader of performance films.

We expect to close the transaction by the first quarter of 2012. The acquisition will be funded from existing cash on hand and will not require third-party financing. We anticipate this acquisition will be accretive to Solutia’s earnings per share in the first year. The purchase price represents approximately 9.5x Southwall’s projected 2011 EBITDA without synergies and approximately 6x, post-synergies.

Our priorities for the company’s excess cash flow remain the same, and quite frankly haven’t changed in a long time. Over the past couple of years, we have maintained surplus liquidity, in part for the purpose of positioning the company to opportunistically acquire highly synergistic, strategic bolt-on acquisitions like this Southwall transaction. Our commitment to re-invest in our businesses through high returning growth projects remains a priority, as does the continued reduction of our leverage profile. And finally, in time we will consider returning a portion of excess cash flow to our shareholders through a dividend and/or share repurchases.

The acquisition secures Solutia’s access to Southwall’s proprietary XIR technology, a key base material for the company’s high-growth V-Kool premium aftermarket window films. In addition, Southwall brings added state-of-the-art manufacturing capacity and capabilities that will supply the fast growing demand for high-tech films for the electronics market, an essential component in many e-readers, touchscreens and smartphones. This growth is driven by the industry shift from glass to films, which provides cost-effective solutions that make devices lighter and more flexible, with less breakage.

This acquisition also gives Solutia the unique ability to expand its product offerings to its current customers by offering Southwall’s patented XIR transparent film encapsulated between layers of Solutia’s Saflex® polyvinyl butyral interlayers. This “interlayer stack” forms a protective barrier against the harmful effects of the sun in laminated automotive glass, with some play in the architectural market as well. This positions us for a unique expansion of our product offerings, providing yet another performance-enhancing option to our customers.


This acquisition turns Solutia into the global leader of sputtering technology with assets on three continents - Europe, North America and Asia - and capabilities to bring the next generation of XIR films to our V-Kool customers and drive the development of other next generation window films for our LLumar brand as well as conductive films that achieve levels of optical clarity comparable to glass in readability for our electronics business.

As I have explained, sputtering technology is the lifeblood of the high-growth electronics and sophisticated window films markets. Southwall’s leadership in the advancement of this technology spans more than 25 years and has led to step-changes in manufacturing efficiencies and an unparalleled capability to innovate.

As we integrate Southwall, we will benefit from the utilization of their high-speed production assets and proprietary optical monitoring systems, resulting in an improved cost structure for the Performance Films division.

On October 7, 2011, Jeffry N. Quinn, Chairman, President and Chief Executive Officer of Solutia Inc. (“Solutia”), sent the following e-mail correspondence to Solutia’s employees.

I have shared with you Solutia’s plans to grow through strategic, bolt-on acquisitions that expand our capabilities and increase the scale of our existing businesses. Since the beginning of 2010, we have made investments in innovative, premium products, expanded into emerging markets, and bolstered our existing operations through acquisitions and organic growth.

This growth strategy has led to record earnings, and we’ve continued to elevate Solutia’s position as a global leader in performance materials and specialty chemicals. In line with this goal and our stated strategy, I am proud to announce the acquisition of Southwall Technologies Inc., a leading innovator of energy-saving films and glass products for automotive and architectural markets.

Solutia has agreed to acquire Southwall for the purchase price of $113 million, and we expect to close the transaction by the first quarter of 2012. The acquisition will be funded from existing cash on hand and will not require additional third-party financing.

Southwall Technologies has been a leader in vacuum sputtering technology for more than 25 years, focused primarily on the window and window film markets. This acquisition will combine our expertise in process, design and product development with Southwall’s one-of-a-kind assets and proprietary capabilities, positioning Solutia as the global technology and manufacturing leader of high -tech and premium films.

If we look deeper look into the drivers of the acquisition, the value becomes apparent:

 

 

This acquisition secures Solutia’s access to Southwall’s proprietary XIR technology, a key base material for Solutia’s high-growth V-Kool premium aftermarket window films.

 

 

It brings added state-of-the-art manufacturing capacity and proprietary capabilities that will support the fast growing demand for high-tech films for the electronics market, an essential component in many e-readers, touch screens and smartphones.

 

 

It gives Solutia the unique ability to expand its product offerings to our current customers by offering Southwall’s XIR transparent film encapsulated between layers of Solutia’s Saflex® polyvinyl butyral interlayers, creating an “interlayer stack” that forms a protective barrier against the harmful effects of the sun in laminated automotive glass, with some play in the architectural market.

 

 

It positions Solutia as the global leader of sputtering technology with assets on three continents – Europe, North America and Asia. Southwall currently has 145 employees across four manufacturing locations – Germany, California, Wisconsin and Illinois.


 

The combination of unmatched innovation, industry expertise and proprietary capabilities will allow Solutia to bring the next generation of premium XIR films to our customers and drive the development of conductive films that achieve more optimal levels of optical clarity and readability, positioning us to capture growth in high-tech electronics and sophisticated window film markets.
