2 GREYHOUND LINES, INC. AND SUBSIDIARIES ITEM 5. OTHER EVENTS On December 19, 2002, Laidlaw Inc. ("Laidlaw"), the ultimate parent company of Greyhound Lines, Inc. and subsidiaries ("Greyhound"), announced that in recent weeks Laidlaw has been in discussion with the Pension Benefit Guaranty Corporation, a United States government corporation that administers the mandatory termination insurance program for defined benefit pension plans under the Employee Retirement Income Security Act. These discussions centered on claims asserted by the PBGC against Laidlaw in Laidlaw's U.S. bankruptcy proceedings regarding funding of the Greyhound pension plans. Laidlaw and the PBGC have orally agreed to resolve the claims of the PBGC, subject to negotiation and execution of a definitive agreement. The terms of this agreement, in essence, provide for Laidlaw to contribute an aggregate amount of $150 million to the Greyhound pension plans, in excess of otherwise required minimum contributions. This amount will be contributed as follows: -$50 million in cash on Laidlaw's exit from bankruptcy protection, -$50 million in cash in June 2004, -$50 million from the sale of Laidlaw stock placed in trust upon Laidlaw's exit from bankruptcy and sold over the period to December 30, 2004.
