Item 5.07. Submission of Matters to a Vote of Security Holders.

On October 18, 2023, Soligenix, Inc. (the “Company”) reconvened its 2023 Annual Meeting of Stockholders, which initially was convened and adjourned on September 21, 2023. At the reconvened Annual Meeting, there was not a sufficient number of shares of the Company’s common stock present or represented by proxy in order to a constitute quorum. The Company again adjourned the Annual Meeting, without transaction any business. The Annual Meeting will resume at 9:00 a.m. Eastern Time on November 16, 2023 and will continue to be held virtually via live audio-only webcast at www.virtualshareholdermeeting.com/sngx2023.

On October 20, 2023, the Company issued a press release announcing the convening and adjournment of the Annual Meeting and the information for the reconvened Annual Meeting. A copy of the press release is furnished as Exhibit 99.1 to this Current Report on Form 8-K and incorporated herein by reference.
