(b) Departure of Directors or Certain Officers

On April 10, 2013, Century Bancorp, Inc. received notice that James P. McDonough resigned, effective immediately, from his position as Director of Century Bancorp, Inc. and Century Bank and Trust Company. Mr. McDonough has accepted the position of President and CEO of Randolph Savings Bank.

Mr. McDonough has served as an active member of the Board of Directors of Century Bancorp, Inc. and Century Bank and Trust Company since May of 2012.
