On May 12, 2006, Century Bancorp, Inc. (the “Company”) issued a letter to Jacobs Asset Management, LLC (“Jacobs”) containing the Company’s response to a Schedule 13D filed with the Securities and Exchange Commission on February 15, 2006 by certain affiliates of Jacobs with respect to shares of Class A Common Stock of the Company beneficially owned by such affiliates, and a letter to the Board of Directors of the Company from JAM Partners, L.P. filed as an exhibit to such Schedule 13D. The letter to Jacobs is attached hereto as Exhibit 99.1.
