Item 5.02.

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On September 23, 2020, John M. Scott, III, a member of the Board of Directors (the “Board”) of Cedar Fair Management, Inc., the general partner of Cedar Fair, L.P. (the “Partnership”), notified the Partnership of his intention to resign as a member of the Board effective upon the Board’s acceptance of Mr. Scott’s resignation. The Board accepted Mr. Scott’s resignation on September 24, 2020. Mr. Scott served on the Audit and Nominating and Corporate Governance Committees of the Board. Mr. Scott advised the Partnership that his decision to resign from the Board was not the result of any disagreement with the Partnership on any matter relating to our operations, policies, or practices.
