Item 5.03.
Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.
 
As previously disclosed, on December 15, 2022, ThermoGenesis Holdings, Inc. (the “Company”) held a meeting of stockholders (the “Annual Meeting”). At the Annual Meeting, the stockholders approved the proposal to amend the Company’s Amended and Restated Certificate of Incorporation (the “Certificate of Incorporation”), to effect a reverse stock split of its issued and outstanding common stock, par value $0.001 per share, at a ratio within the range of one-for-twenty (1:20) to one-for-fifty (1:50), as determined by the Board of Directors of the Company (the “Board”).
 
On December 15, 2022, the Board approved a one-for-forty five reverse stock split of the Company’s issued and outstanding common stock (the “Reverse Stock Split”). On December 21, 2022, the Company filed with the Secretary of State of the State of Delaware a Certificate of Amendment to its Amended and Restated Certificate of Incorporation (the “Certificate of Amendment”) to effect the Reverse Stock Split. The Reverse Stock Split will become effective as of 12:01 a.m. Eastern Time on December 22, 2022, and the Company’s common stock will begin trading on a split-adjusted basis when the market opens on December 22, 2022.
 
When the Reverse Stock Split becomes effective, every forty five (45) shares of the Company’s issued and outstanding common stock will automatically be converted into one share of common stock, without any change in the par value per share. Any fraction of a share of common stock that would be created as a result of the Reverse Stock Split be rounded up to the next whole share.
 
In addition, a proportionate adjustment will be made to the per share exercise price and the number of shares issuable upon the exercise of all outstanding stock options and warrants to purchase shares of common stock, to the conversion price of the Company’s outstanding convertible notes, and to the number of shares reserved for issuance pursuant to the Company’s equity incentive compensation plans.
 
The Company’s common stock will continue to trade on The Nasdaq Stock Market LLC (“Nasdaq”) under the symbol “THMO.” The new CUSIP number for the common stock following the Reverse Stock Split will be 88362L 209. A copy of the Certificate of Amendment is attached as Exhibit 3.1 hereto and incorporated herein by reference.
