         The Proxy Statement, dated March 29, 2001, of Puerto Rican Cement
Company, Inc. (the "Company") contains a minor, non-material error regarding
the number of shares owned by Director Juan A. Albors. Mr. Albors holds 2,100
shares of the Company's Common Stock, not zero (0) shares as reported in the
Proxy Statement.
