Item 1.01.    Entry into a Material Definitive Agreement

Indemnification Agreement

Publix Super Markets, Inc. (the “Company”) and Peter M. Mowitt and Jeffrey D. Stephens, Officers of the Company, entered into Indemnification Agreements dated April 1, 2013. These Indemnification Agreements were in the same form as the Indemnification Agreement attached as an exhibit to the quarterly report of the Company on Form 10-Q for the quarter ended March 31, 2001. The Indemnification Agreement has been entered into between the Company and all of its directors and officers as reported in the quarterly, annual and current reports of the Company on Form 10-Q, Form 10-K and Form 8-K for the periods ended March 31, 2001, June 30, 2001, September 29, 2001, June 29, 2002, December 28, 2002, September 27, 2003, December 27, 2003, March 27, 2004, May 18, 2005, July 1, 2005, January 30, 2006, January 30, 2008, December 22, 2008, April 14, 2009, January 1, 2011 and January 4, 2013.
