Item 5.02 Departure of Directors and Certain Officers; Election of Directors; Appointment of Certain Officers; Compensation of Arrangements of Certain Officers

On June 25, 2008, Bioject Medical Technologies Inc. awarded 197,368 shares of its common stock with a value of $0.38 per share, for a total value of $75,000, to Mr. Ralph Makar, its President and Chief Executive Officer. The grant of stock was in lieu of a $75,000 cash award that was earned by Mr. Makar pursuant to his employment agreement related to 2007 performance.
