Item 2.02  Results of Operations and Financial Condition

On March 15, 2006, Bioject Medical Technologies Inc. (“Bioject”) issued a press release announcing a net loss applicable to common shareholders of $2.1 million, or $0.15 per share, on revenues of $2.1 million for its fourth quarter ended December 31, 2005. Bioject also announced a net loss applicable to common shareholders of $6.6 million, or $0.48 per share, on revenues of $12.3 million for its year ended December 31, 2005. A copy of the press release is attached as Exhibit 99.1.

(b) On March 13, 2006, Mr. Eric T. Herfindal resigned from Bioject Medical Technologies Inc.’s Board of Directors.
