This Post-Effective Amendment relates to the Registration Statement on Form S-8 (File No. 33-96576) filed on September 6, 1995, as amended by the Post-Effective Amendment to Form S-8 (File No. 333-89956) filed on June 6, 2002, pertaining to shares of common stock of Transport Corporation of America, Inc. (the “Company”), par value $.01 per share (the “Common Stock”), to be offered under the Transport Corporation of America, Inc. 1995 Stock Plan.

The undersigned hereby removes and withdraws from registration all shares of the Company’s Common Stock and any additional securities registered pursuant to this Registration Statement that remain unissued.
