March Integration Planning update

February was a busy and productive month for the joint integration planning teams. We have been working collaboratively to finalize our plans for Day 1 and identify longer-term priorities for the first 100 days and beyond. Several key decisions and milestones have been met, including;

·The strategy and commercial workstreams have held several workshops focused on generating ideas for both near-term and longer-term revenue synergies for the new company.

·The communication workstream has been evaluating brand strategies with feedback from senior leaders of both companies, the employee Edge Group, and customers; we will further test the branding strategy with a random selection of employees at both companies, as well as more in-depth customer interviews in the coming weeks.

·We continue to make progress on aligning financial systems and metrics, as well as HR systems. In parallel, we are developing a proposed organization design which these systems will need to support.

·With dependencies across every workstream, IT activities are well under way to make sure we will all be connected and have secure access to the information we need to run our businesses.

Site visits to/from both companies are in full swing, with over 40 visits and townhalls carried out in February alone. At the same time, interaction with all the regulatory agencies is progressing constructively, and we continue to expect to obtain the required approvals in order to close the

transaction in mid-2017. As you saw earlier, the U.S. Department of Justice has made what is known as a “Second Request” for more detailed information – an action that was expected when we proposed the combination.

The tenor of our relationship with the GE Oil & Gas integration planning team has been extremely positive, and excitement for what the two companies can achieve together is growing – based on what Uwem Ukpong, my counterpart at GE Oil & Gas, and I are seeing and hearing as we visit with employees from both companies.

As part of our global roadshow, we visited five countries in the Middle East in February, and held townhalls across North America. Meetings in Asia Pacific are also taking place, and we will be traveling to Latin America, Europe, and Russia Caspian soon. The intention is not only to talk to as many of you as we can, but to hear directly from you about what’s on your mind. You can keep up with us and other integration team leads in real time as we travel to different sites at go/roadshow.

In the coming weeks, we will have the preliminary results of the Culture Survey that closed at the end of February. Thank you to everyone who participated. I look forward to sharing those results soon, along with the actions to be taken in response to what we learned.

We will host the third global integration planning meeting at the end of this month where we will align all of the workstreams and region teams around Day 1 and Day 100 plans.

Remember that we remain separate from GE Oil & Gas until the deal closes, which we continue to expect will happen mid-year. We appreciate your efforts to continue to deliver safe, strong, compliant day-to-day performance.
