Results of Operations and Financial Condition.

On December 4, 2013, EMCORE Corporation (the “Registrant”) issued a press release disclosing its unaudited financial results for its fourth quarter and fiscal year ended September 30, 2013.  A copy of this press release is attached as Exhibit 99.1 to this Current Report.

Item 7.01     Regulation FD Disclosure.

On December 4, 2013, the Company issued press releases announcing its entry into an agreement with Steven R. Becker, Matthew A. Drapkin and certain other affiliates of Becker Drapkin Partners, L.P., the resignations of two directors, and the appointment of two new members of the Company’s Board of Directors. On the same date, the Company issued a press release disclosing its unaudited financial results for its fourth quarter and fiscal year ended September 30, 2013, as discussed in Item 2.02 above. EMCORE Corporation Announces Financial Results for Fourth Quarter and Fiscal Year Ended September 30, 2013

ALBUQUERQUE, New Mexico, December 4, 2013 - EMCORE Corporation (NASDAQ: EMKR - News), a leading provider of compound semiconductor-based components, subsystems, and systems for the fiber optics and space solar power markets, today announced its financial results for its fiscal fourth quarter and year ended September 30, 2013.

Quarterly Financial Results

Revenue:
Consolidated revenue for the fourth quarter ended September 30, 2013 was $43.1 million, which represents a 9.3% decrease compared to the prior year and a 28.7% increase from the immediate preceding quarter. On a segment basis, revenue for our Fiber Optics segment was $22.6 million, which represents a 24.9% decrease compared to the prior year and 4.9% increase compared to the immediate preceding quarter. Revenue for the Photovoltaics segment was $20.5 million, which represents a 17.7% increase compared to the prior year and 71.9% increase compared to the immediate preceding quarter.

Gross Profit:
Consolidated gross profit was approximately $5.4 million. Consolidated gross margin was 12.5%, which represents an increase from the 9.7% gross margin reported in the prior year and an increase from the 12.1% gross margin reported in the immediate preceding quarter. On a segment basis, Fiber Optics gross margin was 11.6%, which represents an increase from the 2.4% gross margin reported in the prior year and an increase from the 3.0% gross margin reported in the immediate preceding quarter. Photovoltaics gross margin was 13.5%, which represents a decrease from the 22.2% gross margin reported in the prior year and a decrease from the 28.6% gross margin reported in the immediate preceding quarter.

Operating Loss:
The consolidated operating loss was $7.1 million, which represents a $0.8 million decline when compared to the prior year and a $0.5 million improvement when compared to the immediate preceding quarter. The quarter-over-quarter variance compared to the prior quarter was primarily due to higher gross profit in the current quarter.

Net Loss:
The consolidated net loss was $2.3 million, which represents a $4.3 million improvement when compared to the prior year and a $5.0 million improvement when compared to the immediate preceding quarter. The consolidated net loss per share was $0.08 compared to a net loss per share of $0.27 in the prior year and the immediate preceding quarter.
 






Non-GAAP Net Loss:
After excluding certain non-cash and other infrequent transactions as set forth in the attached non-GAAP table, our non-GAAP net loss for the fourth quarter ended September 30, 2013 was $5.6 million, which represents an improvement of approximately $0.7 million from the prior year and an improvement of approximately $0.3 million from the immediate preceding quarter. The consolidated non-GAAP net loss per share was $0.21, which represents an improvement from the $0.26 loss per share reported in the prior year and an improvement from the $0.22 loss per share reported in the immediate preceding quarter.


Annual Financial Results

Revenue:
Consolidated revenue for fiscal 2013 was $168.1 million, which represents a 2.7% increase compared to the prior year. On a segment basis, revenue for the Fiber Optics segment was $97.0 million, which represents a 0.9% increase compared to the prior year. Revenue for the Photovoltaics segment was $71.2 million, which represents a 5.2% increase compared to the prior year.

Gross Profit:
Consolidated gross profit was $28.2 million, which represents a 58.2% increase compared to the prior year. Consolidated gross margin was 16.8%, which represents an increase from the 10.9% gross margin reported in the prior year. On a segment basis, Fiber Optics gross margin was 10.1%, which represents an increase from the 4.5% gross margin reported in the prior year. Photovoltaics gross margin was 25.8%, which represents an increase from the 20.0% gross margin reported in the prior year.

During fiscal 2012, lower fiber optics revenues due to the impact from the Thailand flood resulted in higher manufacturing overhead as a percentage of revenue. Manufacturing of certain fiber optics components was moved to Company-owned facilities in the U.S., which involved higher labor and other related costs. Photovoltaics gross margins increased in fiscal 2013 when compared to the prior year primarily due to higher revenues and lower sales activities in the lower margin terrestrial systems product line following the sale of assets in fiscal 2012.

Operating Income:
The consolidated operating income was $0.2 million, which represents a $35.8 million increase in operating income when compared to the prior year.

Net Income:
The consolidated net income was $5.0 million, which represents a $44.2 million increase in net income when compared to the prior year primarily due to higher flood-related insurance recoveries and the gain on sale of the Suncore equity interest. The consolidated net income per share was $0.19, which represents a $1.85 increase in net income per share when compared to the prior year.

Non-GAAP Net Loss:
After excluding certain non-cash and other infrequent transactions as set forth in the attached non-GAAP table, our non-GAAP net loss for the fiscal year ended September 30, 2013 was $11.4 million, which represents an improvement of approximately $15.0 million when compared to the prior year. The consolidated non-GAAP net loss per share was $0.43, which represents an improvement from the $1.12 loss per share reported in the prior year.

Order Backlog
As of September 30, 2013, order backlog for our Photovoltaics segment totaled $57.1 million, which represents a 1.7% decrease from $58.1 million reported as of June 30, 2013. Order backlog is defined as purchase orders or supply agreements accepted by us with expected product delivery and/or services to be performed within the next twelve months. Product sales from our Fiber Optics segment are made pursuant to purchase orders, often with short lead times.

Suncore Joint Venture Equity Sale
EMCORE entered into an equity transfer for the sale of its 40% equity interest in Suncore for $4.8 million. The transaction was recorded and payment was received in the Company's fourth fiscal quarter.

Business Outlook
On a consolidated basis, we expect revenue for our first quarter ended December 31, 2013 to be in the range of $43 to $45 million.

EMCORE Announces Changes to Its Board of Directors.


Albuquerque, New Mexico, December 4, 2013 - EMCORE Corporation (NASDAQ: EMKR), a leading provider of compound semiconductor-based components and subsystems for the fiber optics and solar power markets, announced today that on December 3, 2013, Dr. Thomas Russell informed the Company of his decision to not stand for re-election at the end of his term, which expires at the Company’s 2014 Annual Meeting of Shareholders. Separately, on December 3, 2013, Mr. John Gillen informed the Company that he would retire at the 2014 Annual Meeting of Shareholders.

Concurrently, EMCORE also announced that Reuben F. Richards, the Chairman of EMCORE’s Board of Directors, has been re-appointed to the Board’s Class C directors. Mr. Richards was formerly a Class A director. Mr. Richards also informed the Company on December 3, 2013 that he would not stand for re-election at the Company’s 2015 Annual Meeting of Shareholders and that he will step down as Chairman of the Board at the 2014 Annual Meeting of Shareholders but will remain Chairman Emeritus until the 2015 Annual Meeting of Shareholders at which time he will step down from the Board.

Dr. Russell acquired EMCORE’s majority interest and served as its Chairman of the Board in 1995. His vision, passion and strong support enabled EMCORE to become a world leader of MOCVD platform and became a public company in 1997. Throughout the years, Dr. Russell has been very instrumental in providing strategic and corporate governance which allowed EMCORE to transform from a single-product start-up to a leader in compound semiconductor technology and applications. Especially, Dr. Russell’s passion in advanced solar cell technology is the single and foremost reason that EMCORE has become the world leader in space photovoltaics today. He became Chairman Emeritus in 2008. Dr. Russell currently is Chairman of the Board’s Nominating Committee and also its Strategy and Technology Committee.

Mr. Gillen was appointed to the Board of Directors in 2003. He is currently Chairman of the Board’s Compensation Committee and also is a member of the Board’s Audit Committee.

EMCORE Corporation Announces Appointment of Steven R. Becker, Stephen Domenik and Gerald Fine to Its Board of Directors

Albuquerque, New Mexico, December 4, 2013 - EMCORE Corporation (NASDAQ: EMKR), a leading provider of compound semiconductor-based components and subsystems for the fiber optics and solar power markets, announced today that it has reached a settlement agreement with Becker Drapkin Management, L.P. and its affiliated funds. As a result, Steven R. Becker, Stephen Domenik and Gerald Fine have been appointed to its board of directors, effective December 9, 2013.

Mr. Becker has been a partner at Becker Drapkin Management since 2004. Mr. Becker currently serves on the Board of Tuesday Morning (TUES), a national close-out retailer, Pixelworks, Inc., (NASDAQ: PXLW), a semiconductor company, and Special Diversified Opportunities (NASDAQ: SDOI). Mr. Becker previously served on the board of directors of Plato Learning, Inc., a provider of education services and training, Ruby Tuesday, Inc. (NYSE: RT), the operator of a chain of casual dining restaurants, and Hot Topic, Inc. (NASDAQ: HOTT), a national retailer. Mr. Becker holds a B.A. from Middlebury College and a J.D. from the University of Florida.

Mr. Domenik has been a General Partner with Sevin Rosen Funds, a venture capital firm, since 1995. Mr. Domenik was appointed to the Board of Directors of MoSys, Inc. (NASDAQ: MOSY) in June 2012, a publicly traded IP-rich fabless semiconductor company, and currently sits on the boards of various private companies. Mr. Domenik previously served on the Board of Directors of NetLogic Microsystems, Inc. (NASDAQ: NETL), a publicly traded fabless semiconductor company, from January 2001 until it was acquired by Broadcom Corporation in February 2012. During his tenure at Sevin Rosen Funds, Mr. Domenik led numerous investments in private companies. Mr. Domenik holds a B.S. in Physics and M.S.E.E. from the University of California at Berkeley.

Mr. Fine has been a Professor of Practice and Director at the Engineering Innovation Center of Boston University since 2012. From 2008 to 2011, Mr. Fine was President and CEO of Schott North America and led operations of all Schott AG businesses in North America, including solar, pharmaceutical packaging, electronic packaging, and lighting and imaging and advanced materials. Mr. Fine also served as Executive Vice President, Photonic Technologies for Corning Incorporated. Mr. Fine previously served on the Board of Directors of CyOptics, Inc. a semiconductor laser manufacturer for telecom applications, Crystal IS, Inc., a UV LED substrate manufacturer, Kotura, Inc., a provider of silicon components for datacom and telecom, and Pixtronix, Inc. a provider of low-cost displays for portable devices. Mr. Fine holds a B.A. from Amherst College and Ph.D from California Institute of Technology.
