Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

      Effective at the close of business on January 7, 2008, Hung Kwok Wing, Sonny ( “Mr. Hung”) resigned as Executive Director from the Board of Directors of Man Sang Holdings, Inc. (the “Company”) to pursue other opportunities. Mr Hung’s resignation was not the result of any disagreement with the Company on any matter relating to its operations, policies or practices.
