As of June 30, 2019, there were 5,516,931 shares of Common Stock of the Registrant outstanding. The aggregate market value of the Common Stock of the Registrant held by non-affiliates (assuming for these purposes, but not conceding, that all executive officers, directors and 5% shareholders are “affiliates” of the Registrant) as of June 30, 2019 was approximately $37 million, computed based upon the closing price of $10.09 per share on June 28, 2019.

EXPLANATORY NOTE

 

On February 25, 2020 Psychemedics Corporation (the “Company”) filed its Annual Report on Form 10-K for the fiscal year ended December 31, 2019 (the “Original Form 10-K”). This Amendment No. 1 (the “Amendment”) amends Part IV, Item 15 (a)(3) of the Original Form 10-K to correct typographical errors in the exhibit index and to include a new Exhibit 4.2, Description of Securities that was previously omitted from the Original Form 10-K. Accordingly, Part IV item (a)(3) of the Original Form 10-K is hereby amended and restated as set forth below.

 

In addition, as required by Rule 12b-15 under the Securities Exchange Act of 1934, as amended, new certifications by our principal executive officers and principal financial officer are filed as exhibits to this Amendment under Item 15 of Part IV hereof.

 

Except as stated herein, this Amendment does not reflect events occurring after the filing of the Original Form 10-K with the Securities and Exchange Commission on February 25, 2020 and no attempt has been made in this Amendment to modify or update other disclosures as presented in the Original Form 10-K.

Authorized Capital Stock

 

Our authorized Capital Stock consists of 50,000,000 shares, $0.005 par value per share (“Common Stock”) and 872,521 shares of Preferred Stock, par value $0.005 per share (the “Preferred Stock”). The outstanding shares of our Common Stock are fully paid and nonassessable. No shares of Preferred Stock are outstanding.

 

Voting Rights

 

Holders of Common Stock are entitled to one vote per share on all matters voted on by the stockholders, including the election of directors. Our Common Stock does not have cumulative voting rights.
