Other Events
 
On June 17, 2024, Orrstown Financial Services, Inc.(“Orrstown”) and Codorus Valley Bancorp, Inc. (“Codorus Valley”) jointly announced that they have received the requisite regulatory approvals and waivers from the Board of Governors of the Federal Reserve System and the Pennsylvania Department of Banking and Securities to complete their previously announced merger of equals and the related merger of PeoplesBank, A Codorus Valley Company, with and into Orrstown Bank. Orrstown and Codorus Valley anticipate closing the transaction on July 1, 2024, subject to the satisfaction of customary closing conditions. A copy of the press release is attached as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.
