Summary Description

These 100% Principal Protection Notes with Annual Interest Linked to the S&P 500® Index (the “Notes”) are designed for investors who seek principal protection, an annual interest payment of 2.25% and participation in the positive performance, if any, of the S&P 500® Index. At maturity you will receive your principal plus the Additional Amount. The Additional Amount will be zero, unless the Index Return is greater than the Equity Strike Percentage of 11.25%. For each 1% by which the Index Return exceeds the Equity Strike Percentage, the Additional Amount will equal 1% per $1,000 principal amount Note. The Index Ending Level used to determine the performance of the Index relative to the Index Starting Level as of the Pricing Date will equal the arithmetic average of each of the Index closing levels on the 20 quarterly Averaging Dates during the term of the Notes.

The Return On Your Investment in the Notes May Be Limited to Interest Payments: The return on the Notes at maturity is linked to the performance of the Index and will depend on whether, and the extent to which, the Index Return is greater than the Equity Strike Percentage of 11.25%. IF THE INDEX RETURN IS LESS THAN OR EQUAL TO THE EQUITY STRIKE PERCENTAGE, YOU WILL RECEIVE NO MORE THAN THE FULL PRINCIPAL AMOUNT OF YOUR NOTES PLUS ANY ACCRUED AND UNPAID INTEREST PAYMENTS AT MATURITY.

 

   

Uncapped Appreciation Potential: The Notes are not subject to a predetermined maximum gain and, accordingly, any return on the Notes at maturity will be determined by whether, and the extent to which, the Index Return is greater than the Equity Strike Percentage of 11.25%. Because the Notes are our senior unsecured obligations, payment of any amount at maturity is subject to our ability to pay our obligations as they become due.

The Index consists of 500 companies chosen to approximate the distribution of industries in the common stock population of the U.S. equity market. For additional information about the Index, see “The S&P 500® Index” in the accompanying underlying supplement no. 100.

 

   

Certain U.S. Federal Income Tax Consequences: Lehman Brothers Holdings Inc. intends to treat, and by purchasing a Note, for all tax purposes, you agree to treat, a Note as debt subject to the contingent payment debt instrument rules. Subject to certain limitations, and based on certain factual representations received from us, in the opinion of Sidley Austin LLP, the Notes will be treated for U.S. federal income tax purposes as debt that is subject to the contingent payment debt instrument rules. Lehman Brothers Holdings Inc. is required to provide the comparable yield to you and, solely for tax purposes, is also required to provide a projected payment schedule that includes the fixed payments on the Notes and estimates of the amount and timing of the contingent payments on the Notes. Lehman Brothers Holdings Inc. has determined that the comparable yield will be an annual rate of 5.961%, compounded semi-annually. Based on the comparable yield, the projected payment schedule per $1,000 principal amount Note consists of the fixed annual interest payments and $1,236.91 due at maturity (which includes the final fixed annual interest payment).

Lehman Brothers Holdings Inc. agrees and, by purchasing a Note, you agree, for United States federal income tax purposes, to be bound by Lehman Brothers Holdings Inc.’s determination of the comparable yield and projected payment schedule. As a consequence, for United States federal income tax purposes, you must use the comparable yield determined by Lehman Brothers Holdings Inc. and the projected payments set forth in the projected payment schedule prepared by Lehman Brothers Holdings Inc. in determining your interest accruals, and the adjustments thereto, in respect of the Notes. If the Index Ending Level is not above the Index Starting Level by more than a percentage representing the Equity Strike Percentage, the Additional Amount will be zero. This will be true even if the level of the Index was above the Index Starting Level by more than the Equity Strike Percentage at some time during the term of the Notes.

 

   

You Will Not Participate in any Index Return That is Not Greater Than the Equity Strike Percentage: The Additional Amount will be zero, and you will receive only the principal amount of your Notes plus any accrued and unpaid interest payments at maturity unless the Index Return is greater than the Equity Strike Percentage. For example, if the Index Return is 12%, and the Equity Strike Percentage is 11.25%, the Additional Amount will be equal to $1,000 times the difference between the Index Return and the Equity Strike Percentage (which is 0.75%).

 

   

No Dividend Payments or Voting Rights: As a holder of the Notes, you will not have voting rights or rights to receive cash dividends or other distributions or other rights that holders of stocks included in the Index would have.

 

   

Certain Built-in Costs are Likely to Adversely Affect the Value of the Notes Prior to Maturity: While the Payment at Maturity is based on the full principal amount of your Notes, the original issue price of the Notes includes the agent’s commission and the cost of hedging our obligations under the Notes through one or more of our affiliates, which includes our affiliates’ expected cost of providing such hedge as well as the profit our affiliates expect to realize in consideration for assuming the risks inherent in providing such hedge. Example 1The level of the Index increases from the Index Starting Level of 1,388.82 to an Index Ending Level of 1,666.58. Because the Index Ending Level is 1,666.58 and the Index Starting Level is 1,388.82, the Index Return is 20%, calculated as follows:

(1,666.58 – 1,388.82)/1,388.82 = 20%

Because the Index Return is 20% and the Participation Rate is 100%, the Additional Amount is equal to $87.50 and the Payment at Maturity is equal to $1,087.50 per $1,000.00 principal amount Note, calculated as follows:

$1,000 + [$1,000 × 100% × (20% – 11.25%)] = $1,087.50

Example 2The level of the Index decreases from the Index Starting Level of 1,388.82 to an Index Ending Level of 1,111.06. Because the Index Ending Level is 1,111.06 and the Index Starting Level is 1,388.82, the Index Return is -20%, calculated as follows:

(1,111.06 – 1,388.82)/1,388.82 = -20%

Because the Index Return is negative, the Additional Amount is equal to $0 and the Payment at Maturity is equal to $1,000 per $1,000 principal amount Note (a zero return).

Example 3The level of the Index increases from the Index Starting Level of 1,388.82 to an Index Ending Level of 1,458.26. Because the Index Ending Level is 1,458.26 and the Index Starting Level is 1,388.82, the Index Return is 5%, calculated as follows:

(1,458.26 – 1,388.82)/1,388.82 = 5%

Because the Index Return of 5% is less than the Equity Strike Percentage of 11.25%, the Additional Amount is equal to $0 and the Payment at Maturity is equal to $1,000 per $1,000 principal amount Note (a zero return).

Supplemental Plan of Distribution

We have agreed to sell to Lehman Brothers Inc., and Lehman Brothers Inc. has agreed to purchase, all of the Notes at the price indicated on the cover of this pricing supplement.

We have agreed to indemnify Lehman Brothers Inc. against liabilities, including liabilities under the Securities Act of 1933, as amended, or to contribute to payments that Lehman Brothers Inc. may be required to make relating to these liabilities as described in the MTN prospectus supplement and the base prospectus.

We expect to deliver the Notes against payment on or about April 30, 2008, which is the fourth business day following the Pricing Date. Under Rule 15c6-1 of the Exchange Act, trades in the secondary market generally are required to settle in three business days, unless the parties to any such trade expressly agree otherwise. Accordingly, if any purchaser wishes to trade the Notes on the Pricing Date, it will be required, by virtue of the fact that the Notes initially will settle on the fourth business day following the Pricing Date, to specify an alternate settlement cycle at the time of any such trade to prevent a failed settlement.

Lehman Brothers Inc. will offer the Notes initially at a public offering price equal to the issue price set forth on the cover of this pricing supplement. After the initial public offering, the public offering price may from time to time be varied by Lehman Brothers Inc.

We have, or our affiliate has, entered into swap agreements or related hedge transactions with one of our other affiliates or unaffiliated counterparties in connection with the sale of the Notes and Lehman Brothers Inc. and/or an affiliate may earn additional income as a result of payments pursuant to the swap or related hedge transactions.
