ITEM 2.02. Results of Operations and Financial Condition

On August 7, 2006, AmeriCredit Corp. (the “Company”) issued a press release announcing the results of operations for the quarter and fiscal year ended June 30, 2006. A copy of the press release is attached as Exhibit 99.1 to this Current Report on Form 8-K.

The Company will conduct its fourth quarter and fiscal year end conference call August 7, 2006, at 5:30 p.m. EDT. Interested persons may register to listen to the call at the Company’s website, www.americredit.com, under “Investors,” “Conference Calls.” The call will also be available on demand at this website.

Also on August 7, 2006, AmeriCredit Financial Services, Inc., a subsidiary of the Company, released its asset-backed certificate data for the month ended July 31, 2006. The information is located on the Company’s website, www.americredit.com, under “Investors,” “Asset Backed Information,” “AmeriCredit ABS Information.”
