Airgas Prices $400 Million of Senior Subordinated Notes
RADNOR, PA – June 5, 2008 – Airgas, Inc. (NYSE: ARG) today announced that it priced $400 million of 7.125% senior subordinated notes at par. The notes are due on October 1, 2018. Net proceeds from the offering will be used to reduce the outstanding balance under Airgas’ existing revolving credit facility. The transaction is expected to close June 10, 2008.
The notes are being sold in the United States to qualified institutional buyers in reliance on Rule 144A, and outside the United States in compliance with Regulation S, under the Securities Act of 1933, as amended (the “Securities Act”). These notes have not been registered under the Securities Act or any state securities laws and may not be offered or sold in the United States absent registration or an applicable exemption from registration requirements. This press release is being issued pursuant to Rule 135c and shall not constitute an offer to sell or a solicitation of an offer to buy the securities.
