   On March 3, 2004, Airgas, Inc. announced that it priced its senior
subordinated notes offering.  Airgas will sell $150 million of its
6.25% senior subordinated notes due 2014, as described in the press
release attached as Exhibit 99.1 and incorporated herein by reference.
